2022 Board of Directors Election

This year AMBA will hold the first Board election in several years.  This year's election will be unique, as it is a transition year where the entire existing board will step down, which will ensure that there is sufficient turnover each year beginning in 2023. As such, there are 9 Board seats open for election. 

The Board of Directors ensure the effective decision-making, monitoring, and sustainability of the association. The new board will consist of: 
  • 3 one-year term Directors
  • 3 two-year term Directors
  • 3 three-year term Directors
As part of our transitionary election plan, once elected, there will be a random draw to determine term lengths for each elected Director.  All elected Directors should be prepared to serve a three-year term. 

Beginning in 2023, all Director terms will be three years. Once elected, Directors can serve up to two consecutive three-year terms.

Nomination Phase: February 17th - March 17th 
During this period, potential candidates can submit their nomination forms online.  Members are also able to nominate other members should they choose. A member who has been nominated by another member has the option to decline the nomination.

Once your nomination has been received  and reviewed, candidates will be asked to provide the following:
  • ​A written statement about your experience, vision for the future of AMBA, and what you would like to bring to the association if you become a Director.
  • A video of you explaining your intent and encouraging members to vote for you.
  • A headshot for election related communications and the voting phase.

​Voting Phase: March 31 - April 14
All members will receive a unique voting code and link, and can cast one vote per open Director seat.  There are 9 open seats, meaning that each member will have the opportunity to cast 9 votes.  AMBA uses a secure, third-party voting platform to protect the integrity of the election process. 

Results & Swearing-in Phase: April 15 - April 29
Once voting has concluded, results will be complied and all candidates will be notified of the results no later than April 19th. Newly elected Directors will be sworn in at the 2022 AGM, which takes place in Calgary on April 28th. 

2022 Annual General Meeting (AGM): April 28
This year's AGM will be hosted in-person, at Hotel Arts in Calgary. By popular demand, this year's AGM will also be livestreamed, and eligible members will be able to participate online. Members who are not able to join in person or online are encouraged to appoint a proxy holder to attend and vote on their behalf.  As per AMBA's Bylaws, any member may carry a maximum of 15 proxy votes.  If the proxy you select has reached their maximum number, you will be notified and will have the opportunity to select an alternate proxy.

Electing the Officers of the Board: April 28
Immediately following the AGM, the new Board of Directors will meet to elect the Officers of the Board. Officer positions include: 
Chair
Vice-Chair
Treasurer
Voting is done by confidential ballot. 

Post-AGM Dinner:  April 28
The evening of the AGM, outgoing Directors and the newly sworn-in Board of Directors will attend a dinner.  The dinner is a valuable opportunity for outgoing Directors to share their experiences and offer advice to the new Board, and for new Directors to ask questions of the outgoing Directors.  

Director Orientation & Training: April 29
AMBA is committed to ensuring that new and returning Directors are provided with the resources and tools needed to set them up for a successful Board term.  As such, on April 29 all Directors will attend a mandatory full-day orientation and training session, facilitated by a third-party governance consultant.  

Please note: As part of AMBA's Director Compensation Policy, Directors who are travelling from out of town to attend the AGM, dinner and orientation will be reimbursed for travel, meals and accommodations.  For more information, please contact mswaffield@amba.ca.
