Special General Meeting

NOTICE IS HEREBY GIVEN THAT a special meeting of Members (the “Meeting”) of the Alberta Mortgage Brokers Association (the “Society”) will be held at:

Date: Sunday, May 27, 2018
Location: Fairmont Chateau Lake Louise (111 Lake Louise Dr., Lake Louise)
Room: Beehive/Lakeshore
Time: 3 p.m.

Join us May 27 to learn more details about the joint-membership plan!

We are proposing a joint membership fee model for AMBA and Mortgage Professionals Canada that will require a single Alberta membership to belong to both associations. Nothing else changes in AMBA's structure — remaining an independent Alberta entity maintained by its own staff and board of directors. There is potential savings to those who currently belong to both associations.

Our working partnership the past few years has given us both new strength in the province and across the country and this is a logical next step that ensures Albertans no longer feel a need to choose whether it is more important to support the provincial or national perspective when both are working together toward the same goals.

More also needs to be done to ensure AMBA will be able to better serve its members for decades to come regardless of uncertainties that come with changing regulatory mandates and economic ebbs and flows. With a relatively small pool of licensed industry professionals in the province, our future depends on more of them becoming involved in their associations. To that end, we are proposing changes to the way our corporate memberships function, with our brokers of record determining the status of their staff.

All proposed amended bylaws can be found here for your review. You are strongly urged to independently review the entirety of the proposed bylaws attached.

Bylaw Change Executive Summary: Significant changes to the by-laws are summarized as follows: the “Licensed Member” category has been revised. It now states that if a Licensed Member works for a mortgage brokerage that it is a requirement of membership that all other “brokerage staff” also become Licensed Members. Brokerage staff in this instance meaning people within a mortgage brokerage who are mortgage brokers, mortgage agents, independent mortgage contractors, mortgage associates, mortgage sub-brokers or hold any other similar positions as determined by the Board from time to time. Further changes have been made to explicitly state the objectives of the Association, containing a reproduction of the objectives included in the application as required by the Societies Act (the “Act”). In addition, the requirements of passing a special resolution have been expanded and clarified pursuant to the requirements of the Act. There has also been an addition of section contemplating the power of the Board of Directors to appoint committees or advisory boards. Finally, numerous changes have been made throughout the bylaws with regards to defined terms to create consistency throughout the document (for example, with regards to the definition of Members).

*The Executive Summary is only intended as a summarization of some of the major items that have been changed in the proposed bylaws. It is not intended as a full and comprehensive summary of the proposed changes, nor should it be relied upon as one. In receiving this form of notice and proxy you are strongly urged to independently review the entirety of the proposed bylaws attached.
